About the Role
The role supports the Bank’s financing, security, M&A and corporate transactions, drafting and reviewing contracts and documentation, advising the business and engaging with counter-parties, working under the guidance of senior members of the team. It suits a lawyer building towards handling transactions and commercial matters independently.
Job Responsibilities
- Draft and review contracts, financing and security documentation and related agreements, and engage with internal stakeholders and counter-parties, providing clarifications and seeking agreement where points of contention arise.
- Support the team on M&A and structured transactions, including reviewing transaction documents and assisting with due diligence.
- Assist internal stakeholders after understanding the business context around a contract and its impact on the business.
- Provide opinions and advice to business teams on existing and new commercial arrangements, escalating more complex matters as needed.
- Give a legal view on internal and industry matters, supporting compliance with applicable laws and policies.
- Recognize where specialist legal support is needed and obtain it to ensure maximum benefit to the Bank without unnecessary cost.
- Assist in training business teams on legal developments, contract management and Legal policies and procedures.
Experience and qualifications
- Bar-at-Law, LL.M. or LL.B. from a recognized institution.
- 3 to 5 years’ relevant experience in corporate and commercial law, financing, security documentation and contract review, ideally with some transactional exposure, with a bank, financial institution, corporate legal team or law firm.
- A developing ability to handle matters independently, with sound judgement on when to escalate.
